These Terms of Sale ("Terms") govern all wholesale purchases from KonLLC, doing business as PiPower ("PiPower," "we," "us"), through this store. By creating an account, placing an order, or using the site, the buyer ("Buyer," "you") agrees to these Terms. If you do not agree, do not use the store.

1. Business‑to‑business only

This is a wholesale platform for businesses (repair shops, resellers, refurbishers). It is not intended for consumers. By registering you represent that you are purchasing in the course of a business, are authorized to bind that business, and are at least 18 years old.

2. Aftermarket product — not affiliated with Apple

Products are aftermarket replacement cells/parts. "iPhone" and other device names are trademarks of their respective owners and are used only to indicate compatibility. PiPower is not affiliated with, authorized, sponsored, or endorsed by Apple Inc. Products are intended for installation by qualified technicians; correct installation (including, for cells, reuse of the device's original battery circuit) is the Buyer's responsibility.

3. Accounts, verification, and pricing

Wholesale pricing is visible only to verified business accounts. Verification may require a valid business tax ID and/or resale or exemption certificate (see §7). You are responsible for the accuracy of your account and verification information and for all activity under your account.

4. Orders and acceptance

Your submission of an order is an offer to buy. No order is binding until we accept it by confirming and/or dispatching. We may decline or limit any order (e.g., pricing error, stock, suspected fraud, or compliance). Prices and availability may change without notice; the price applied is the one in effect when the order is accepted.

5. Payment

Orders are payable online by card (processed by Stripe) or, where offered, by bank wire/ACH per the invoice. Card details are handled by our payment processor; we do not store full card numbers. Title and order confirmation are contingent on cleared payment. Stock is reserved at order placement and confirmed on payment; unpaid orders may be cancelled and stock released after 7 days. Any credit terms are at our discretion and may be revoked.

6. Title and risk of loss

Risk of loss passes to Buyer upon delivery to the carrier (FOB origin) unless stated otherwise on the order. Title passes upon receipt of payment in full.

7. Taxes and resale certificates

Prices exclude taxes. Where a valid, current resale or exemption certificate is on file and accepted, qualifying sales may be treated as tax‑exempt. You are solely responsible for the validity of any certificate or tax ID you provide and for any tax, penalty, or interest arising from an invalid or misapplied exemption, and you agree to indemnify us for the same. We may collect applicable tax where no valid exemption applies.

8. Lithium batteries — handling, installation, and compliance

Products are lithium‑ion cells/packs and are regulated dangerous goods (UN3480/UN3481, Class 9). Buyer is responsible for safe storage, handling, installation by qualified technicians, and compliance with all applicable laws when reselling, installing, or re‑shipping the products, including hazardous‑materials transport rules. Do not use damaged, swollen, or punctured cells.

9. Limited warranty

Products carry a limited warranty of 12 months from delivery against manufacturing defects, subject to our Refund & Return Policy. The warranty does not cover damage from improper installation, mishandling, abuse, water, physical damage, or use outside specifications. This is the sole warranty. All other warranties, express or implied, including merchantability and fitness for a particular purpose, are disclaimed to the maximum extent permitted by law.

10. Product claims

Published specifications (capacity in mAh, compatibility, cycle/health) reflect manufacturer documentation on file. "Extended Capacity" means capacity greater than the equivalent original battery, per that documentation; actual runtime varies by device and usage. Buyer must not make representations to its own customers beyond what that documentation substantiates.

11. Limitation of liability

To the maximum extent permitted by law, our total liability for any claim arising from a product or order is limited to the amount you paid for the product at issue. We are not liable for indirect, incidental, special, consequential, or punitive damages, including damage to devices into which a product is installed, lost profits, or downtime. Some jurisdictions limit these exclusions; they apply to the extent permitted.

12. Indemnification

You agree to indemnify and hold us harmless from claims arising out of your resale, installation, handling, re‑shipment, or representations regarding the products, or your breach of these Terms or applicable law.

13. Product images and compatibility

Product images are illustrative. Specifications come from manufacturer documentation. You are responsible for confirming the correct model/compatibility before purchasing.

14. Governing law and disputes

These Terms are governed by the laws of the State of [STATE], without regard to conflict‑of‑laws rules. The exclusive venue for disputes is the state or federal courts located in [STATE/COUNTY]. [Arbitration clause — decide with counsel.]

15. Changes
